Overview
1.1 / Advisory Services
Nayuran provides independent advisory services to help individuals and families explore assisted living, senior care, memory care, rehabilitation, respite, and supportive stays in Thailand. Our services may include consultations, written recommendations, shortlists, local validation, and practical next-step guidance.
1.2 / Nature of Services
Nayuran is an advisory business. We do not operate care facilities, provide medical treatment, or guarantee admission, availability, outcomes, or suitability at any third-party provider. All decisions remain the responsibility of the client or family.

Services Terms
2.1 / Booking and Engagement
Services begin once a booking, written confirmation, or accepted proposal has been received and any required payment has been made. Timelines begin only after Nayuran has received the necessary background information, forms, or client materials needed to start the work properly.
2.2 / Delivery of Services
Depending on the selected package, services may be delivered through calls, written summaries, reports, research, local validation, coordination support, or other agreed advisory outputs. Delivery times are indicative and may vary depending on case complexity, client responsiveness, and third-party cooperation.

Scope of Services
3.1 / Included Services
Included services are limited to the advisory scope described in the selected package, proposal, or booking confirmation. This may include consultations, fit assessment, market research, option filtering, comparative review, local inquiry, validation support, and written guidance.
3.2 / Excluded Services
Unless expressly agreed in writing, Nayuran does not provide medical diagnosis, legal advice, insurance advice, immigration advice, tax advice, emergency intervention, clinical guarantees, or direct care services. Third-party accommodation, treatment, or facility fees are not included in Nayuran’s advisory fees.

Client Responsibilities
4.1 / Accurate Information
Clients agree to provide complete and accurate information about the person, situation, priorities, and relevant health or care context to the best of their knowledge. Nayuran is not responsible for conclusions affected by incomplete, delayed, or inaccurate information provided by the client.
4.2 / Communication
Clients agree to respond in a timely manner to reasonable requests for clarification, documents, or feedback. Delays in communication may affect timelines, recommendations, or the overall progress of the advisory process.

Intellectual Property
5.1 / Rights and Ownership
All Nayuran materials, frameworks, reports, written recommendations, comparison tools, website content, and brand elements remain the intellectual property of Nayuran unless otherwise agreed in writing. No part may be copied, redistributed, or used commercially without prior written consent.
5.2 / Personal Use
Clients may use Nayuran’s reports, summaries, and advisory materials for their own private decision-making purposes. These materials may not be published, resold, or presented as third-party professional advice without written permission.

Changes and Rescheduling
6.1 / Consultation Changes
Scheduled calls or consultations may be rescheduled with at least 24 hours’ notice wherever possible. Changes requested with shorter notice may need to be rebooked subject to availability.
6.2 / Scope Changes
If the client requests additional services, deeper research, broader facility review, extra calls, or expanded coordination beyond the agreed package, Nayuran may issue an updated quote or revised scope before continuing that work.

Payment Terms
7.1 / Fees and Currency
Fees are quoted in the currency stated in the proposal, booking page, or invoice. Unless otherwise stated, payments are due in advance for consultations and short advisory services. Larger packages may be invoiced in stages as agreed in writing.
7.2 / Late Payments
Nayuran reserves the right to pause or delay work if invoices remain unpaid beyond the stated due date. Final reports, summaries, or deliverables may be withheld until outstanding balances have been settled in full.

Cancellation and Termination
8.1 / Client Cancellation
Consultations cancelled more than 48 hours in advance may be rescheduled or refunded at Nayuran’s discretion, less any administrative or already-incurred preparation time where relevant. Cancellations made within 48 hours may be non-refundable.
8.2 / Termination of Services
Either party may end an advisory engagement in writing if the relationship becomes impractical, unworkable, or materially delayed. Fees already paid for work completed, time reserved, or services already delivered remain non-refundable unless otherwise agreed.

Confidentiality
9.1 / Private Information
Nayuran treats all personal, family, and case-related information as private and confidential, except where disclosure is required by law or necessary to perform agreed services with the client’s knowledge.
9.2 / Third-Party Contact
Where Nayuran contacts third-party operators or providers on the client’s behalf, only information reasonably necessary for that purpose will be shared. Clients are responsible for deciding what final information they wish to disclose directly to any provider.

Liability and Indemnification
10.1 / Limitation of Liability
Nayuran provides guidance, research, and advisory support based on the information available at the time. We do not guarantee outcomes, provider conduct, admission, pricing stability, care quality, or future changes at third-party facilities. Our liability is limited to the fees paid for the relevant service.
10.2 / Third-Party Services
Any decision to engage a third-party facility, operator, consultant, or provider is made directly by the client. Nayuran is not liable for the acts, omissions, services, pricing, availability, or performance of third parties.ntain general liability and professional indemnity insurance. Certificates are available upon written request.

General Terms
11.1 / Independent Relationship
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Nayuran and the client. Nayuran acts solely as an independent advisory service provider.
11.2 / Force Majeure
Nayuran shall not be liable for delay or failure to perform caused by events beyond reasonable control, including illness, natural disaster, transport disruption, regulatory change, internet failure, or third-party interruption affecting the service.

Dispute Resolution
If a dispute arises, both parties agree to first seek a practical and good-faith resolution through direct written communication before pursuing formal action.
Unless otherwise stated in a signed agreement, these Terms are governed by the laws applicable in the jurisdiction in which Nayuran is legally registered and operating at the time of the engagement.

Modifications
Nayuran may revise these Terms from time to time. The most current version published on the website or issued with a booking will apply to new engagements from the date of publication.

Entire Agreement
These Terms, together with any accepted proposal, booking confirmation, service description, or written agreement, form the full understanding between Nayuran and the client regarding the services provided.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
