Overview
1.1 / Membership Services
We offer holistic campus membership plans that combine residential living, wellness programmes, Motion Studio fitness classes, Life Studio coaching, spa access, and curated dining experiences. Each membership is governed by a written Membership Agreement detailing inclusions, commitment period, and fees. Members enjoy priority booking for classes and campus events.
1.2 / À La Carte Services
Visitors may book individual services—such as day passes, spa treatments, workshops, retreats, or venue rentals—on a one‑off basis. Each booking receives a quote with defined deliverables, schedule, and payment terms. Final payment is required prior to service delivery.

Services Terms
2.1 / Booking & Membership Terms
A signed Membership Agreement or Booking Confirmation and a deposit of 30% of the total fee are required to reserve your slot. The service timeline commences once we receive both the deposit and any required intake forms or materials. Rush requests (less than 48 hours’ notice) may attract a 20% surcharge.
2.2 / Programme Terms
Class schedules, session lengths, and participation limits are outlined in the programme description. Unused pre‑paid sessions expire at the end of the programme period and are non‑refundable unless otherwise stated.

· The Nayuran Table dining, nutrition consultations, and meal plans

3.2 / Excluded Services
· Medical diagnosis or prescription services
· Professional legal, tax, or financial advice
· Complex surgical or rehabilitative therapies
· Travel arrangements beyond scheduled campus shuttles
· Third‑party accommodations or off‑site activities not organised by Nayuran

Client Responsibilities
4.1 / Health Disclosure & Conduct
You must complete our health and lifestyle questionnaire truthfully and update us of any changes. Guests agree to comply with campus safety rules, respect fellow residents, and refrain from behaviour that endangers others.
4.2 / Communication
Please nominate a single point of contact for all membership or booking correspondence. Feedback or queries should be provided within three (3) business days to avoid service delays.

Intellectual Property
5.1 / Rights and Ownership
All Nayuran content—including course materials, programme curricula, videos, photographs, and trademarks—remains the exclusive property of Nayuran. You receive a personal, non‑transferable licence to use such materials for your own wellbeing and education. Redistribution or commercial use is prohibited without written consent.
5.2 / Media Consent
We occasionally film or photograph activities for marketing or educational purposes. We will seek your written consent before featuring you in any identifiable manner.

Changes and Rescheduling
6.1 / Booking Changes
You may reschedule individual sessions at no charge with at least 24 hours’ notice. Same‑day changes incur a 50% rescheduling fee.
6.2 / Scope Changes
Modifications to the agreed services require a written addendum. Additional fees will be quoted and must be accepted before work proceeds.

Payment Terms
7.1 / Fees and Currency
All fees are quoted in Thai Baht (THB) and are subject to applicable value‑added tax (VAT). Membership fees are billed monthly in advance. Invoices are due within fifteen (15) days of issue (Net 15).
7.2 / Late Payments
Overdue balances accrue interest at 1.5% per month or the maximum amount permitted by law. Services may be suspended until the account is current.

Cancellation and Termination
8.1 / Booking Cancellation
Cancellations received seven (7) or more days before the service date are refundable minus a 10% administrative fee. Cancellations received less than seven (7) days but more than 24 hours before the service date forfeit 50% of the fee. Cancellations within 24 hours or no‑shows are non‑refundable.
8.2 / Membership Termination
Memberships may be terminated with thirty (30) days’ written notice after completing any minimum commitment period stated in your Membership Agreement. Fees already paid are non‑refundable, and outstanding balances become immediately due.

Confidentiality
Both parties agree to keep confidential all proprietary or personal information obtained during the relationship. This obligation survives termination. If requested, a separate Non‑Disclosure Agreement (NDA) will be executed.

Liability and Indemnification
10.1 / Limitation of Liability
To the fullest extent permitted by Thai law, Nayuran’s aggregate liability for any claim related to these Terms or the Services is limited to the total fees you paid for the specific service giving rise to the claim.
10.2 / Insurance
We maintain general liability and professional indemnity insurance. Certificates are available upon written request.

General Terms
11.1 / Relationship of Parties
Nothing in these Terms creates an employer‑employee relationship, joint venture, or partnership. Each party remains an independent entity.
11.2 / Force Majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, epidemic, or war. Affected obligations are suspended for the duration of the force majeure event.

Dispute Resolution
Any dispute will first be addressed through good‑faith negotiation. If unresolved within thirty (30) days, the parties agree to mediate at the Thai Mediation Center. If mediation fails, the dispute shall be finally settled by binding arbitration administered by the Thailand Arbitration Institute (TAI) in Bangkok, under Thai law. The arbitral award is final and enforceable in any competent jurisdiction.

Modifications
Nayuran may modify these Terms with at least thirty (30) days’ notice to active members and clients. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

Entire Agreement
These Terms, together with any signed Membership Agreement or Booking Confirmation, constitute the entire agreement between the parties and supersede all prior understandings or representations. Any amendments must be in writing and signed by both parties.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
